Acceptance of Terms
By accessing the website or utilizing the 3D printing, design, and prototyping services (collectively, the "Services") provided by STX3D ("Company," "we," "our," "us"), a subsidiary of Didact Group LLC, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
Description of Services
STX3D provides custom 3D printing, computer-aided design (CAD), rapid prototyping, and related manufacturing services. As a subsidiary of Didact Group LLC, your use of STX3D may also be subject to overarching Didact Group LLC policies where applicable. We reserve the right to modify, suspend, or discontinue any part of our Services, materials offered, or production capabilities at any time, with or without notice.
Order Submissions and Acceptable Use
To utilize our prototyping and printing services, you may be required to submit 3D models (e.g., STL, STEP, or OBJ files), technical drawings, or design requirements.
Content Restrictions: You agree not to submit files for the production of items that are strictly prohibited, including but not limited to: functional firearms or firearm components, weapons, items that violate intellectual property laws (e.g., counterfeit goods), or items intended for illegal purposes.
Right of Refusal: We reserve the right to review any submitted design and may refuse to print or produce any object at our sole discretion, for any reason, including safety or equipment limitations.
Custom Products, Prototypes, and Tolerances
Due to the nature of rapid prototyping and additive manufacturing, the Services are highly customized to your specifications.
Tolerances and Aesthetics: 3D printing involves layer-by-layer manufacturing which can result in visible layer lines, slight dimensional variations, and cosmetic imperfections. Unless a specific tolerance is guaranteed in writing in a Statement of Work (SOW) or invoice, parts are provided at standard commercial 3D printing tolerances.
Specific Agreements: Any large-scale manufacturing runs, complex design consulting, or specialized hardware development will be outlined in a specific invoice, quote, or SOW. In the event of a conflict between these general Terms and a specific signed SOW, the terms of the SOW shall take precedence.
Fees, Payments, and Refunds
Pricing: Prices for 3D printing and design services are based on material volume, print time, machine wear, and design labor. Quotes provided are valid for the timeframe specified on the quote (typically 30 days).
Payments: Payment is required upfront for standard web orders. For invoiced corporate clients, payment is due according to the terms specified on the invoice.
Refunds: Due to the bespoke, custom-manufactured nature of our physical products and design services, all sales are final and non-refundable once production or design work has commenced. If a printed part drastically deviates from the provided 3D file due to a machine failure on our end, we will review the issue on a case-by-case basis to offer a reprint or store credit.
Intellectual Property
Your Designs: You retain all ownership rights to the CAD files, 3D models, data, and intellectual property you submit to us ("User Content"). By submitting these files, you grant STX3D a limited, non-exclusive license to use, modify (e.g., slicing and adding supports), and store that content strictly as necessary to manufacture your parts and provide the Services.
Our Property: The proprietary manufacturing processes, custom design techniques, platform architecture, and any original designs created internally by STX3D (unless specifically transferred via a Work-for-Hire agreement in an SOW) remain the exclusive property of STX3D and Didact Group LLC.
Termination
We reserve the right, in our sole discretion, to terminate or suspend your access to the Services, or cancel any pending orders, at any time and for any reason, including a breach of these Terms. Upon termination, we may delete your stored User Content and 3D files from our servers.
Disclaimer of Warranties
THE SERVICES AND ANY CUSTOM PROTOTYPES OR PRODUCTS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. To the maximum extent permitted by law, STX3D expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Prototypes are intended for testing and evaluation purposes. We do not warrant that 3D-printed parts will possess the structural integrity, thermal resistance, or exact mechanical properties required for end-use consumer applications unless explicitly certified in writing.
Limitation of Liability
In no event shall STX3D, Didact Group LLC, or its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, personal injury, or property damage arising from your use of the Services or the failure/use of any custom prototype products manufactured by us, even if we have been advised of the possibility of such damages.
Governing Law
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Texas.
Modifications to Terms
We reserve the right to revise these Terms at any time. If we make material changes, we will notify you by updating the "Effective Date" at the top of this document or by sending a notification. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
